These Terms of Service govern access to and use of the software, mobile applications, websites, APIs, integrations, communication services, dashboards, reports, analytics, and related services provided by Tarsil Systems (Pvt.) Ltd.
By creating an account, signing an order form, subscribing to a package, accessing Tarsil Cloud, using the Tarsil Field App, using Tarsil Connect, or otherwise using our Services, you agree to these Terms.
If you are using the Services on behalf of a company, business, partnership, sole proprietorship, or organization, you confirm that you are authorized to accept these Terms on behalf of that entity.

Definitions

Tarsil,” “we,” “our,” or “us” means Tarsil Systems (Pvt.) Ltd.
“Customer,” “Merchant,” “Company,” or “Subscriber” means the business or organization that subscribes to or uses Tarsil.
“Admin User” means a user authorized by the Customer to manage company settings, users, rights, subscriptions, branches, zones, warehouses, reports, and configurations.
“End User” means any staff member, rider, delivery person, salesperson, collection agent, manager, accountant, customer success user, or other person using Tarsil under a Customer’s account.
Tarsil Field App means the mobile application used by field staff for orders, deliveries, collections, invoicing, route activities, stock, customer visits, GPS tracking, and related functions.
Tarsil Cloud means the web-based dashboard used by owners, admins, managers, accountants, and support teams.
“Tarsil Connect” means the customer-facing application or interface used by customers of Tarsil’s merchants for ordering, invoices, payments, notifications, and related services.
“Customer Data” means all business, operational, financial, customer, staff, order, delivery, inventory, payment, location, invoice, and other data submitted to or generated through Tarsil by or on behalf of a Customer.
“Personal Data” means any information relating to an identified or identifiable natural person, including names, phone numbers, addresses, CNIC information where applicable, GPS/location data, staff activity records, customer contact details, and payment-related information.
“Subscription Services” means paid software services provided by Tarsil on a recurring or prepaid basis.
“Third-Party Services” means services provided by third parties, including cloud hosting, SMS providers, WhatsApp Business API providers, payment gateways, banks, tax systems, mapping providers, notification providers, analytics tools, and integration platforms.

Services Provided by Tarsil

Tarsil provides a B2B SaaS platform for businesses with field operations. The platform may include:

  • Order management
  • Delivery management
  • Field staff tracking
  • Sales and collection recording
  • Inventory and stock management
  • Customer management
  • Zone and route management
  • Digital invoicing
  • Reports and dashboards
  • WhatsApp/SMS notifications
  • Tax invoicing integrations
  • Accounts and production modules
  • Customer ordering through Tarsil Connect
  • API and third-party integrations
  • Payment facilitation through licensed partners
  • AI-powered support, analytics, and recommendations, where available

Tarsil may add, modify, suspend, or discontinue features from time to time.

Customer Account and Admin Responsibility

The Customer is responsible for:

  1. Providing accurate company, billing, tax, contact, and business information.
  2. Maintaining the confidentiality of login credentials.
  3. Assigning proper roles and permissions to users.
  4. Ensuring only authorized users access the account.
  5. Immediately disabling users who leave employment or no longer require access.
  6. Reviewing user activity, reports, and system-generated data.
  7. Ensuring that staff, riders, managers, and customers are informed about the use of Tarsil where required.
  8. Ensuring internal business policies comply with applicable law.

Any action taken through a Customer’s account may be treated as authorized by the Customer unless the Customer has promptly notified Tarsil of unauthorized access.

Staff Users, GPS Tracking, and Internal Consent

Tarsil may collect and process GPS/location data, device activity, delivery status, route activity, timestamped actions, proof-of-delivery information, and field activity data from staff users.
The Customer is responsible for:

  1. Informing staff users that location and activity data may be collected during business use.
  2. Obtaining any required consent from employees, contractors, riders, or field staff.
  3. Using GPS/location data only for lawful business purposes.
  4. Avoiding misuse of tracking features outside legitimate operational requirements.
  5. Ensuring employment contracts, HR policies, and internal notices support the use of field tracking tools.

Tarsil provides the technology platform. The Customer remains responsible for its employment, HR, labor, privacy, and staff monitoring obligations.

Customer Data Ownership

Customer Data belongs to the Customer.
Tarsil does not own Customer Data. Tarsil processes Customer Data only to:

  1. Provide the Services.
  2. Maintain and secure the platform.
  3. Provide support and troubleshooting.
  4. Improve performance and reliability.
  5. Generate reports and analytics for the Customer.
  6. Comply with legal obligations.
  7. Develop anonymized, aggregated insights that do not identify a specific Customer, staff member, or end customer.

Tarsil will not sell Customer Data.

Customer Data Accuracy

The Customer is responsible for the accuracy, legality, quality, and completeness of data entered into Tarsil, including:

  • Customer names and contact information
  • Prices
  • Orders
  • Invoices
  • Payments
  • Balances
  • Stock records
  • Staff records
  • Delivery records
  • Tax information
  • Payment instructions

Tarsil is not responsible for losses caused by incorrect data entry, wrong configurations, customer-side misuse, or inaccurate business information provided by users.

Customer Consent for End-Customer Data

If the Customer records information about its own customers in Tarsil, the Customer is responsible for:

  1. Informing those customers that their data may be recorded in Tarsil.
  2. Obtaining any required consent.
  3. Ensuring the information is collected lawfully.
  4. Responding to customer requests for correction, deletion, or access where legally required.
  5. Not uploading unlawful, false, unauthorized, or excessive personal data.

Subscriptions and Packages

Tarsil offers subscription packages that may be charged monthly, quarterly, annually, or through custom enterprise agreements.
Subscription fees may be based on:

  • Number of users
  • Number of mobile users
  • Number of branches
  • Number of warehouses
  • Add-on modules
  • SMS/WhatsApp usage
  • API usage
  • Storage usage
  • Transaction volume
  • Payment service usage
  • Custom development or onboarding services

The Customer agrees to pay all applicable fees, taxes, and charges according to the selected package, quotation, invoice, order form, or agreement.

Add-ons and Usage-Based Services

Certain services may be charged separately, including:

  • WhatsApp messages
  • SMS messages
  • FBR/tax integration
  • Payment processing
  • Extra storage
  • Extra branches or warehouses
  • Premium support
  • Custom reports
  • Custom integrations
  • AI/analytics modules
  • Onsite training
  • Data migration
  • Custom development

Third-party charges may change based on vendor pricing, currency exchange rates, regulatory charges, taxes, or service provider revisions.

Price Changes

Tarsil may revise pricing from time to time.
For existing paid Customers, Tarsil will make reasonable efforts to provide advance notice before material price changes take effect, except where changes are caused by third-party vendors, government taxes, regulatory fees, telecom providers, payment providers, or currency fluctuations.
Legacy pricing, discounts, promotional rates, and special packages may be revised, discontinued, or converted to current pricing with reasonable notice.

Payment Terms

Unless otherwise agreed:

  1. Subscription fees are payable in advance.
  2. Invoices are due according to the billing cycle selected by the Customer.
  3. Late payments may result in reminders, temporary suspension, restricted access, or termination.
  4. Tarsil may withhold access to premium features, support, integrations, reports, or data export for overdue accounts.
  5. Reactivation may require payment of outstanding dues and applicable reactivation charges.
  6. Taxes, bank charges, withholding taxes, payment gateway charges, and government levies are the Customer’s responsibility unless clearly stated otherwise.

Free Trial

Tarsil may offer a free trial.
During the trial:

  1. Features may be limited or full-access depending on the offer.
  2. Trial access does not guarantee continued free access.
  3. Tarsil may restrict, extend, or end trials at its discretion.
  4. Data entered during trial may be deleted after the trial period if the Customer does not convert to a paid subscription.
  5. Trial users must still comply with these Terms.

Acceptable Use

The Customer must not use Tarsil to:

  1. Violate law.
  2. Commit fraud.
  3. Upload false, illegal, harmful, or unauthorized data.
  4. Send spam or unlawful communications.
  5. Track individuals unlawfully.
  6. Misuse customer or staff data.
  7. Attempt unauthorized access.
  8. Reverse engineer the platform.
  9. Copy or resell Tarsil without permission.
  10. Overload, damage, scrape, or disrupt the Services.
  11. Use Tarsil for illegal payments, money laundering, terrorist financing, or prohibited transactions.
  12. Upload malware, viruses, or harmful code.

Third-Party Services

Tarsil may integrate with or depend on Third-Party Services. These may include:

  • Cloud hosting providers
  • SMS providers
  • WhatsApp Business API providers
  • Payment gateways
  • Banks
  • FBR or tax systems
  • Google Maps
  • Firebase
  • Email providers
  • Analytics tools
  • CRM tools
  • ERP/eCommerce platforms

Tarsil is not responsible for downtime, pricing changes, errors, delays, outages, policy changes, or failures caused by Third-Party Services.
The Customer agrees that use of Third-Party Services may also be subject to third-party terms and policies.

API and Integrations

Where Tarsil provides APIs, webhooks, or integration access:

  1. API credentials must be kept secure.
  2. The Customer is responsible for activities performed using its API keys.
  3. Tarsil may impose rate limits.
  4. Tarsil may suspend API access for abuse, security risk, excessive load, or non-payment.
  5. Tarsil does not guarantee uninterrupted sync with third-party systems.
  6. Integration failures may occur due to changes in third-party APIs, credentials, permissions, or policies.
  7. Custom integrations may require separate charges and timelines.

Intellectual Property

Tarsil owns all rights in the software, platform, source code, design, workflows, documentation, trademarks, reports, dashboards, product architecture, business logic, APIs, AI models, algorithms, and related intellectual property.
The Customer receives a limited, non-exclusive, non-transferable right to use the Services during the active subscription period.
The Customer may not copy, modify, reverse engineer, resell, license, or create competing products from Tarsil’s platform.

Feedback

If the Customer provides suggestions, feature requests, ideas, or feedback, Tarsil may use them without restriction or payment, provided Tarsil does not disclose the Customer’s confidential information.

Confidentiality

Each party may receive confidential information from the other party.
Confidential information includes:

  • Business data
  • Customer lists
  • Pricing
  • Financial data
  • Product plans
  • Technical documentation
  • Login credentials
  • API keys
  • Trade secrets
  • Non-public commercial information

Each party agrees to protect confidential information using reasonable care and not disclose it except:

  1. To provide or receive the Services.
  2. To employees, contractors, or advisors bound by confidentiality.
  3. With written consent.
  4. As required by law or government authority.

Support

Tarsil provides support according to its Support Policy and the package purchased by the Customer.
Support may be provided through:

  • WhatsApp
  • Email
  • Phone
  • Ticketing system
  • CRM/support portal
  • Training videos
  • User manuals
  • Online meetings
  • Onsite training, where separately agreed

Support does not include free custom development, third-party troubleshooting, data correction caused by user error, hardware issues, internet issues, or business process consulting unless included in the package or separately agreed.

Service Availability

Tarsil will use commercially reasonable efforts to keep the Services available and secure.
However, the Services may be unavailable due to:

  • Maintenance
  • Internet failure
  • Cloud provider issues
  • Third-party outages
  • Telecom/network issues
  • Security incidents
  • Force majeure
  • Customer-side device or configuration issues
  • Emergency updates
  • Database maintenance
  • Regulatory or government restrictions

Any formal uptime commitment will be governed by the Service Level Agreement, if applicable.

Beta Features

Tarsil may release beta, pilot, preview, experimental, AI, payment, analytics, or integration features.
Beta features:

  1. May contain bugs.
  2. May be changed or discontinued.
  3. May not be covered by standard SLA.
  4. May produce incomplete or inaccurate outputs.
  5. Should not be relied upon for critical business decisions without review.

AI Features

Tarsil may provide AI-powered features, including chatbots, analytics, recommendations, SQL query assistance, forecasting, route optimization, support guidance, and business insights.
AI outputs are generated by automated systems and may be inaccurate, incomplete, outdated, or unsuitable for a particular business decision.
The Customer is responsible for reviewing AI outputs before taking action.
Tarsil does not provide legal, financial, tax, HR, employment, medical, or professional advice through AI features.
Tarsil will not intentionally use Customer confidential data to train public AI models without permission. Tarsil may use anonymized or aggregated data to improve services where permitted by law and contract.

Suspension

Tarsil may suspend access if:

  1. Fees are overdue.
  2. The Customer breaches these Terms.
  3. There is a security risk.
  4. The account is used unlawfully.
  5. The Customer misuses the platform.
  6. Third-party services require suspension.
  7. Government, court, regulator, bank, payment provider, or law enforcement action requires it.
  8. Continued use may harm Tarsil, other customers, or the platform.

Tarsil will make reasonable efforts to notify the Customer unless urgent suspension is required.

Termination

Either party may terminate according to the applicable order form, subscription agreement, or billing policy.
Tarsil may terminate immediately for material breach, unlawful use, non-payment, fraud, misuse, or security risk.
Upon termination:

  1. Access to Services may stop.
  2. Outstanding dues become payable.
  3. Customer must stop using Tarsil.
  4. Tarsil may retain data for a limited period according to the Data Retention Policy.
  5. Data may be deleted after the retention period.
  6. Certain clauses survive termination, including confidentiality, payment obligations, IP rights, liability limits, data processing, indemnity, and dispute resolution.

Disclaimers

The Services are provided on an “as is” and “as available” basis, except as expressly stated in a signed agreement or SLA.
Tarsil does not guarantee:

  1. The Services will always be uninterrupted.
  2. All errors will be fixed immediately.
  3. The Services will meet every business requirement.
  4. Third-party services will always operate properly.
  5. AI outputs will always be accurate.
  6. Customer-side devices, internet, printers, hardware, or networks will work correctly.
  7. Business outcomes such as revenue growth, fuel savings, leakage elimination, or efficiency improvement will be achieved in every case.

Marketing claims, case studies, and estimated ROI are illustrative and depend on Customer adoption, data accuracy, business processes, staff discipline, and operational execution.

Limitation of Liability

To the maximum extent permitted by law, Tarsil will not be liable for:

  • Indirect damages
  • Loss of profits
  • Loss of revenue
  • Loss of business opportunity
  • Loss of goodwill
  • Business interruption
  • Loss caused by third-party services
  • User error
  • Incorrect data entry
  • Unauthorized access caused by Customer negligence
  • Device failure
  • Internet failure
  • Payment provider delays
  • Tax authority system downtime
  • Staff misuse
  • Customer’s internal disputes

Except for amounts that cannot be limited by law, Tarsil’s total liability should be capped at the fees paid by the Customer to Tarsil for the affected Services during the previous three months or another legally approved amount agreed in writing.
This cap should be reviewed by legal counsel before publication.

Indemnity

The Customer agrees to defend and indemnify Tarsil against claims, losses, damages, penalties, costs, and expenses arising from:

  1. Customer’s breach of these Terms.
  2. Customer’s misuse of the Services.
  3. Customer’s violation of law.
  4. Unauthorized or unlawful data collection.
  5. Staff or customer consent disputes.
  6. Payment disputes between Customer and its own customers.
  7. Incorrect tax, invoice, pricing, or transaction data entered by Customer.
  8. Customer’s internal employment, HR, or field staff tracking disputes.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Pakistan.
Courts at Lahore, Pakistan shall have jurisdiction, subject to any arbitration clause agreed between the parties.
For B2B enterprise contracts, Tarsil may use a separate dispute resolution clause in the signed agreement.
Legal review strongly recommended: The arbitration clause should be reviewed by Pakistani legal counsel to ensure enforceability and fairness.

Changes to Terms

Tarsil may update these Terms from time to time. Privious till 30-April-2026.
Material changes will be communicated through reasonable means, such as website notice, email, in-app notice, invoice notice, or account manager communication.
Continued use after the effective date means acceptance of updated Terms.
